1. Services Overview

Auspicious provides professional computer systems design, computer integrated systems design, and related technology consulting services (the Services). These Services are delivered on a project-by-project basis and are subject to separate service agreements that supplement these Terms where applicable.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to affected clients. Service descriptions on our website are for informational purposes and do not constitute a contractual offer unless expressly stated in a signed agreement.

2. User Responsibilities

You agree to use our website and Services in compliance with all applicable laws, regulations, and these Terms. You shall not:

• Access or attempt to access our systems through unauthorized means, including hacking, scraping, or automated querying without prior written consent.
• Upload or transmit any content that is unlawful, harmful, defamatory, or infringes upon the rights of any third party.
• Interfere with the proper functioning of our website, servers, or networks.
• Misrepresent your identity, affiliation, or purpose when engaging with our Services.
• Reverse engineer, decompile, or disassemble any software or system provided as part of our Services.

3. Intellectual Property Rights

All content, materials, designs, code, documentation, methodologies, and deliverables created by Auspicious and Dexian Nixiang Network Technology Co., Ltd. -- including but not limited to website text, graphics, logos, icons, software, and underlying architecture -- are the exclusive intellectual property of Dexian Nixiang Network Technology Co., Ltd. and are protected under applicable copyright, trademark, and patent laws.

Upon full payment for Services, clients receive a limited, non-exclusive, non-transferable license to use deliverables created specifically for them. This license does not extend to our proprietary frameworks, tools, or methodologies used in the creation process.

You may not reproduce, distribute, modify, create derivative works from, or publicly display any of our intellectual property without our express written permission.

4. Client Obligations and Confidentiality

Clients engaging our Services agree to provide timely, accurate information necessary for project execution. Delays or failures in providing required materials may affect delivery timelines, for which Auspicious shall not be held liable.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of engagement. This obligation survives the termination of the service relationship for a period of five (5) years.

Confidential information does not include data that is publicly available, independently developed, or rightfully obtained from a third party without restriction.

5. Payment Terms

Fees for Services are outlined in individual project proposals or service agreements. Payment terms, including deposit requirements, milestone payments, and final balances, are specified in each agreement and must be adhered to as stated.

Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. We reserve the right to suspend Services or deliverables until all outstanding payments are received in full.

All fees are exclusive of applicable taxes, duties, or levies, which are the responsibility of the client unless otherwise agreed in writing.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Dexian Nixiang Network Technology Co., Ltd. and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website, Services, or deliverables.

Our total liability for any claim arising under these Terms shall not exceed the total amount paid by the client for the specific Service giving rise to the claim, regardless of the form of action (contract, tort, or otherwise).

This limitation does not apply in cases of gross negligence, willful misconduct, or fraud on our part.

7. Warranties and Disclaimers

Our Services are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the uninterrupted, error-free, or secure operation of our website or Services.

We disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

We warrant that Services will be performed in a professional manner consistent with industry standards. If a delivered solution fails to meet agreed-upon specifications, we will make reasonable efforts to correct the deficiency at no additional cost, provided the issue is reported within thirty (30) days of delivery.

8. Indemnification

You agree to indemnify, defend, and hold harmless Dexian Nixiang Network Technology Co., Ltd., its affiliates, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use or misuse of our website or Services.
• Your violation of these Terms or any applicable law or regulation.
• Your infringement of any third-party intellectual property or other rights.
• Any content or materials you provide to us or submit through our website.

9. Termination

Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement. In the absence of such terms, either party may terminate with thirty (30) days written notice.

Upon termination, the client shall pay for all Services rendered up to the effective date of termination. Any provisions of these Terms which by their nature should survive termination -- including confidentiality, intellectual property, limitation of liability, and indemnification -- shall remain in full force and effect.

We reserve the right to suspend or terminate your access to our website or Services at any time, without prior notice, if we reasonably believe you have violated these Terms or applicable law.

10. Third-Party Links and Resources

Our website and communications may contain links to third-party websites, tools, or resources that are not owned or controlled by Auspicious. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party sites.

Your interactions with third-party providers are solely between you and the third party. We recommend reviewing their terms and privacy policies before engaging with them.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People’s Republic of China, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Jiujiang City, Jiangxi Province, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

Notwithstanding the foregoing, either party may seek injunctive or equitable relief from a court of competent jurisdiction to protect its intellectual property rights or confidential information.

12. Changes to These Terms

We reserve the right to update or modify these Terms of Service at any time. Changes will become effective immediately upon posting the revised terms on this page, with the updated date noted at the top.

Your continued use of our website or Services after any changes constitutes acceptance of the new terms. We encourage you to review these Terms periodically. Material changes will be communicated via email or a prominent notice on our website.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or tribunal of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intent.

14. Entire Agreement

These Terms, together with any applicable service agreements, privacy policies, and order forms, constitute the entire agreement between you and Dexian Nixiang Network Technology Co., Ltd. regarding the use of our website and Services. They supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term.
